Borealis (BRLS) notified by Nasdaq for late Q2 2026 10-Q; given Oct 26 to submit compliance plan
Borealis Foods (NASDAQ: BRLS) said it received a Nasdaq notice of noncompliance for failing to timely file its Form 10-Q for the quarter ended June 30, 2026, but trading of its shares and warrants is not immediately affected. The company has until Oct 26 to submit a compliance plan (Nasdaq may allow up to Feb 16, 2027 to regain compliance) and says the delay is due to an auditor review of the proper accounting treatment for a previously disclosed Conversion Agreement that may require shareholder approval; it intends to file promptly after completing that review.
BRLS: K–12 foodservice revenue +110% YoY; expanded to 20,000+ schools
Borealis Foods (BRLS) reported U.S. K–12 foodservice revenue increased 110% year-over-year as the company expanded its school channel to more than 20,000 schools representing ~2,500 districts. Over the past 12 months its school products shipped through 106 distributors across 40 states, and the company says the channel could support higher production volume and greater manufacturing utilization as it targets the ~95,000-school National School Lunch Program opportunity.
BRLS launches Chef Woo high-protein noodles at Costco; reports early strong demand
Borealis Foods (BRLS) said it is launching Chef Woo High-Protein Noodles at Costco and is seeing strong early member demand, positioning the product for broader national retail exposure. The noodles are marketed as 20 g of complete protein per serving and the company says demand is being driven by shifts toward protein-rich, nutrient-dense foods amid increased GLP-1 medication use.

Borealis Foods (BRLS, BRLSW) said new manufacturing partnerships with major global food companies will support rollouts of its protein‐rich products in the U.S. and Canada and help boost utilization, revenues and margins as production ramps through 2026. For Q1 ended March 31, 2026 the company reported net revenue up 8% YoY, a 29.3% improvement in loss from operations, a 24% drop in SG&A and a 91% improvement in net cash used in operating activities; it also refinanced its primary secured debt to remove an August 2026 balloon and extend maturity to April 2031, while noting a Nasdaq minimum‐market‐value notice with a Dec 29, 2026 cure deadline.
