cbdMD agrees to acquire Twinlab brands (Twinlab, Reserveage, Metabolife) via ABC proceeding
YCBD filed SEC Form 8-K. CbdMD entered a definitive asset purchase agreement to acquire operating assets and brands of Twinlab (including Twinlab, Reserveage, Metabolife and Alvita Tea) through an assignment for the benefit of creditors (ABC), subject to court approval and customary closing conditions. Based on unaudited trailing twelve months revenue through June 2026, the combined business would total approximately $30 million (about a 40% increase vs. cbdMD standalone TTM), and cbdMD expects the incremental revenue to generate positive contribution after transaction and integration costs.
YCBD Q3 revenue +20% to $5.6M; Oasis/Bluebird momentum

CbdMD (YCBD) welcomed Senate Appropriations text released Aug. 2 that would push the federal hemp definition changes slated for Nov. 12 back to Dec. 11, temporarily preserving the current framework for naturally derived full‐spectrum CBD while still allowing a carve‐out for certain synthetic cannabinoids. The company says its core full‐spectrum, naturally derived portfolio should be covered but cautioned the language is not yet law — the House passed a version without the hemp protections, so the provision must survive final reconciliation and the President's signature.

CbdMD (YCBD) said it supports the bipartisan Lawful Hemp Protection Act, introduced July 21, which would repeal a FY2026 provision that narrows the federal hemp definition on Nov. 12, 2026, and create a long‐term federal regulatory framework for hemp‐derived products.
