S-3 to Register 13.10M WORX Shares for Resale (mostly warrant shares)

SCWORX CORP. filed SEC Form S-3. The shares are held by investors and warrant holders from prior note and placement financings (July, Nov, Jan, Inducement and September financings); the company will not receive proceeds from selling stockholders' resales but would receive cash if warrants are exercised. If all warrants were exercised as modeled in the filing, outstanding shares would increase to 13,841,352; many warrants (except the September Warrants) include exercise-price adjustment provisions that can change actual dilution and shares issued.
